Crystallex Closes US$28.2 Million Private Placement

TORONTO - Crystallex International Corporation (TSX, AMEX: KRY) announced today that it has closed a private placement of 12,800,000 special warrants at a price of US$2.20 per warrant for aggregate proceeds of approximately US$28.2 million.  The special warrants entitle the holders, upon exercise and without payment of any additional consideration, to acquire one common share and one-half of one common share purchase warrant.  Each whole purchase warrant is exercisable for one common share for a period of three years after issuance at a price of US$2.75 per share.

The securities sold have not been registered under the United States Securities Act of 1933 (the "U.S. Securities Act") and may not be offered or sold within the United States or to, or for the account or benefit of, U.S. persons except in certain transactions exempt from the registration requirements of the U.S. Securities Act.

The proceeds of the offering will be used by Crystallex for working capital purposes and to advance its gold mining projects in the Bolivar State, Venezuela.
